SIMetrix/SIMPLIS End User License Agreement
PLEASE READ THIS LICENSE CAREFULLY
This is a legal agreement between you and SIMetrix Technologies Ltd. Please read this software license agreement carefully before using the software. By installing copying or using the software, you are agreeing to be bound by the terms and conditions stated below. If you do not agree with the terms of this license do not copy install or use the software.
Grant of License
SIMetrix Technologies Ltd ("SIMETRIX TECHNOLOGIES") grants the Licensee the right to install a copy of the software program SIMetrix/SIMPLIS ("The SOFTWARE") on a single computer workstation which is owned or leased by the Licensee or owned or leased by an employee or other appointed representative of the Licensee. Additional copies of the SOFTWARE may be installed on any other computer workstation which is owned or leased by the Licensee or owned or leased by an employee or other appointed representative of the Licensee provided that a network license, part number suffix -N, or a portable license, part number suffix -P has been obtained.
SIMETRIX TECHNOLOGIES grants to any employee or other appointed representative of the Licensee the right to use The SOFTWARE provided that there is no possibility that more than one person per license issued may use the SOFTWARE at any one time.
Copyright
The SIMetrix component of The SOFTWARE ("SIMetrix") owned by SIMETRIX TECHNOLOGIES and the SIMPLIS component of the SOFTWARE ("SIMPLIS") owned by SIMPLIS Technologies Inc ("SIMPLIS TECHNOLOGIES") and their documentation are protected by copyright laws and international treaty provisions. The Licensee may make copies of the SOFTWARE for backup purposes only. Copying of the documentation accompanying the SOFTWARE is not permitted.
Other restrictions
The SOFTWARE May Not be rented or leased. The SOFTWARE May Not be used to provide computer services by any means including but not resricted to services provided via the Internet World Wide Web. The Licensee May Not transfer the SOFTWARE without the prior written permission of SIMETRIX TECHNOLOGIES. The Licensee shall not, nor permit anyone else to, decompile, reverse engineer, disassemble or otherwise reduce the SOFTWARE to a human perceivable form.
Limited Warranty
SIMETRIX TECHNOLOGIES warrants that the distribution media and documentation are free of defects in material and workmanship for a period of ninety days from date of purchase. During this period, SIMETRIX TECHNOLOGIES will replace at no cost any such media returned to SIMETRIX TECHNOLOGIES. This service is the sole liability of SIMETRIX TECHNOLOGIES under this warranty.
The entire and exclusive liability and remedy for breach of this Limited Warranty shall be limited to replacement of the media and documentation and shall not include or extend to any claim for or right to recover any other damages, including but not limited to loss of profit, data or use of the SOFTWARE or special incidental or consequential damages nor other claims even if SIMETRIX TECHNOLOGIES or SIMPLIS TECHNOLOGIES have been specifically advised of the possibility of such damages.
Neither SIMETRIX TECHNOLOGIES nor SIMPLIS TECHNOLOGIES make any representation or warranty that the SOFTWARE is fit for any particular purpose and any implied warranty of merchantability is limited to the ninety day duration of the Limited Warranty covering the media and documentation and is otherwise specifically disclaimed.
This agreement is governed by the Law of England and Wales.
